integrated device technology inc.近日表示，其已同意以价值大约17亿美元的现金和股票收购另一家半导体企业integrated circuit systems inc.。
此交易使这两家名称相近、且在定时芯片产品市场存在竞争的企业实现了联合。定时芯片用于协调通讯、计算和消费产品内部元件的运转。
根据双方董事通过的一项协议，integrated circuit systems股东的每1股股票可获得1.3股integrated device technology股票和7.25美元现金。该交易对integrated circuit systems的估值为每股约23.54美元，较该股昨日的收盘价溢价19%。
integrated device technology称，其总裁兼首席执行长greg lang将在合并后的新公司留任原职。integrated circuit systems总裁兼首席执行长hock tan将担任董事长。
两家公司称，交易完成后，integrated device technology的股东将持有两家公司已发行股总数的近54%，余下股份由integrated circuit systems的股东持有。
